Terms of Service

These Terms of Service ("Terms") are an agreement between you and A&Z CodeWorks LLC ("we", "us") for your use of Repeva and the repeva.com website (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Repeva lets local businesses send appointment reminders, review requests, and follow-up messages to their customers by text message and email. We may add, change, or remove features over time.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for your account, for keeping your login credentials secure, and for all activity under your account. Provide accurate information and keep it up to date.

You are solely responsible for the messages you send and the contacts you upload. You agree that you will:

• Obtain and maintain all required consent from your customers before sending them messages, in line with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, carrier rules, and other applicable laws.
• Honor opt-out requests promptly and not message anyone who has opted out.
• Only send messages that are lawful and relevant to your business relationship with the recipient.
• Not send prohibited content, including messages related to sex, hate, alcohol, firearms, or tobacco (SHAFT), or any unlawful, misleading, or abusive content.
• Not use the Service to send spam or to violate any law or third-party right.

You are responsible for ensuring you have the legal right to contact every recipient. We may suspend or terminate accounts that violate these rules.

You represent and warrant that you have obtained the necessary opt-in consent from each recipient before sending messages through the Service. We may require proof of consent and may refuse to send, or stop sending, messages we believe are non-compliant.

The Service is offered on a subscription basis. We offer a 7-day free trial; no credit card is required to start the trial unless stated otherwise.

After any trial, paid plans are billed in advance on a recurring basis until you cancel. You can cancel at any time, and cancellation takes effect at the end of your current billing period. Except where required by law, payments are non-refundable. We may change our prices with advance notice.

The Service relies on third parties, such as messaging carriers and payment processors. We are not responsible for their acts or omissions, and your use of those services may be subject to their own terms.

The Service, including its software, design, and content, is owned by A&Z CodeWorks LLC and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. You retain ownership of the content and customer data you provide.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that messages will always be delivered on time, as delivery depends on carriers and other factors outside our control.

To the fullest extent permitted by law, A&Z CodeWorks LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

You agree to indemnify and hold A&Z CodeWorks LLC harmless from any claims, damages, or costs arising out of your use of the Service, your content, your messages, or your violation of these Terms or any law, including claims by your customers or by regulators.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law or by our providers. On termination, your right to use the Service ends.

We may update these Terms from time to time. If we make material changes, we will notify you or update the date at the top of this page. Continuing to use the Service after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. Any disputes will be handled in the courts located in that state, unless applicable law requires otherwise.
